MPSYCHIC.COM TERMS OF USE
This Terms of Use Agreement (“Agreement”) is made by and between Mpsychic.com, a company incorporated in the United States (“Mpsychic.com”) and you, a user of Mpsychic.com’s website, services and products (“you”).
This Agreement governs your use of Mpsychic.com and any services, products, applications, software, content, websites and other materials provided by Mpsychic.com (collectively, the “Mpsychic.com Services”). By using Mpsychic.com Services, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to any of the terms and conditions of this Agreement, you must not use Mpsychic.com Services.
1. USING MPSYCHIC.COM
(a) Eligibility: You must be at least 18 years of age to use Mpsychic.com Services. By using Mpsychic.com Services, you represent and warrant that you are 18 years of age or older and that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.
(b) Restrictions: You shall not use Mpsychic.com Services for any unlawful purpose or in any manner that is inconsistent with this Agreement or violates any applicable laws or regulations.
2. ACCOUNT REGISTRATION
(a) Registration: In order to use many of the features of Mpsychic.com, you must register for an account. When you register for an account, you agree to provide accurate, current and complete information about yourself as prompted and to maintain and update your information to keep it accurate. You are solely responsible for any and all activities that occur under your account.
(b) Security: You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account. Mpsychic.com will not be liable for any loss or damage arising from your failure to comply with this section.
3. PRIVACY POLICY
Your use of the Mpsychic.com Services is subject to Mpsychic.com’s Privacy Policy (the “Privacy Policy”), which is hereby incorporated by reference into this Agreement. Please review the Privacy Policy carefully for information relating to Mpsychic.com’s collection, use, storage and disclosure of your personal information.
4. CONTENT
Mpsychic.com Services may include text, software, scripts, graphics, photos, sounds, music, videos, interactive features, applications and other content (collectively, the “Content”). The Content may be provided by Mpsychic.com or third-party licensors, partners and other suppliers.
Mpsychic.com reserves the right to review, remove, or delete any Content from the Mpsychic.com Services for any reason at any time.
5. PROPRIETARY RIGHTS
Mpsychic.com Services are owned and operated by Mpsychic.com and its licensors. The Content, the Mpsychic.com Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos and music (the “Mpsychic.com Materials”) are the exclusive property of Mpsychic.com and its licensors. Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Mpsychic.com Materials, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Mpsychic.com Materials. Use of the Mpsychic.com Materials for any purpose not expressly permitted by this Agreement is strictly prohibited.
6. DISCLAIMER OF WARRANTIES
THE MPSYCHIC.COM SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MPSYCHIC.COM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MPSYCHIC.COM DOES NOT REPRESENT OR WARRANT THAT THE MPSYCHIC.COM SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE MPSYCHIC.COM SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MPSYCHIC.COM DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MPSYCHIC.COM SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU UNDERSTAND AND AGREE THAT YOU USE THE MPSYCHIC.COM SERVICES AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY CONTENT.
7. LIMITATION OF LIABILITY
MPSYCHIC.COM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MPSYCHIC.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE MPSYCHIC.COM SERVICES; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE MPSYCHIC.COM SERVICES; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE MPSYCHIC.COM SERVICES; OR (v) ANY OTHER MATTER RELATING TO THE MPSYCHIC.COM SERVICES.
8. GENERAL
(a) Governing Law: This Agreement and performance hereunder shall be governed by and construed in accordance with the laws of the State of California, notwithstanding its conflicts of law principles.
(b) Entire Agreement: This Agreement constitutes the entire agreement between you and Mpsychic.com and supersedes all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Mpsychic.com with respect to Mpsychic.com Services. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.
(c) No Waiver: The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder.
(d) Assignment: This Agreement and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be assigned by Mpsychic.com without restriction. Any assignment attempted to be made in violation of this Agreement shall be null and void.
(e) Headings: The headings and captions used in this Agreement are used for convenience only and shall not be given any legal import.
(f) Severability: If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, the provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of this Agreement shall remain in effect.
